Offer by Frasers Group plc to acquire all of your ordinary shares in Accent Group Limited

Frasers Group plc, a public limited company incorporated in England & Wales with company number 06035106, is making an Offer under an on-market takeover bid to acquire all of the fully paid ordinary shares in Accent Group Limited ACN 108 096 251 (ASX:AX1) (Accent) on issue and listed for quotation on ASX (or to be issued and listed during the Offer Period) which Frasers Group plc does not already own, on the terms and conditions set out in the bidder's statement from Frasers Group plc dated 15 June 2026 as may be replaced or supplemented (the Bidder's Statement). Capitalised terms have the same meaning as given in the Bidder's Statement, unless otherwise defined.

If you validly accept the Offer for any or all of Your Accent Shares in accordance with the process set out in the Bidder's Statement, you will be paid $0.65 cash for each Accent Share accepted under the Offer on a T+2 basis, being two Trading Days after your acceptance, subject to the terms and conditions of the Offer, and you will no longer hold those of Your Accent Shares in respect of which you accepted the Offer.

The Bidder's Statement sets out certain information required by the Corporations Act together with the terms of the Offer to acquire all of Your Accent Shares on the terms and conditions set out in the Bidder's Statement.
